The Compensation Committee discharges the responsibilities of the JSA Board relating to the compensation of JSA's executives and other employees as the Committee may decide. The Committee reviews and approves on behalf of the Board the compensation and benefits programs for the Lab. The Committee negotiates the employment contract and sets the salary of the President/Lab Director, and annually reviews his/her performance. The Committee reviews and approves salary offers for Lab personnel whose compensation is supplemented by non-DOE-funds because they exceed normal ranges for such positions as determined by DOE or Lab policy. The Committee annually reviews the President/Lab Director's performance appraisals of key personnel and others; and approves or disapproves recommended salary adjustments. The Committee annually reviews and approves the salary adjustment recommendation of the Finance & Audit Committee for the JSA internal auditor. The Committee annually reviews its leadership, specifically the position of JSA President/Lab Director, and reviews the Lab's succession plan(s) for other key personnel. The Committee provides to the Board an annual assessment of fulfillment of governance responsibilities related to the JSA Contractor Assurance System (CAS) program.
